These terms govern your use of the Dizroot website and any services we provide. By engaging with us, you agree to the terms below.
Services
Dizroot provides design, web development, AI engineering, and related advisory services as defined in a written Statement of Work (SOW) agreed with each client. The SOW takes precedence over these general terms where they conflict.
Payments
Projects are typically billed 50% upfront and 50% on milestone delivery, unless otherwise specified in the SOW. Retainers are billed monthly in advance. Invoices are payable within 14 days of issue.
Late payments may incur a 1.5% monthly service charge and may pause work on active projects.
Intellectual property
Upon full payment, all original work product (code, design, copy) created specifically for the client transfers to the client.
Dizroot retains rights to general know-how, reusable components, and pre-existing libraries used in the project. Dizroot may reference the work in its portfolio and case studies unless the client requests confidentiality in writing.
Project delivery
Timelines are estimates based on agreed scope. Delays caused by client feedback, content readiness, or scope changes will shift delivery dates accordingly. We communicate progress weekly through demos, written updates, or both.
Revisions
Each project phase includes a defined number of revision rounds, specified in the SOW. Additional revisions or out-of-scope work will be quoted and approved before execution.
Liability
To the maximum extent permitted by law, Dizroot's total liability for any claim arising from a project is limited to the fees paid for that project in the preceding 6 months. Dizroot is not liable for indirect, incidental, or consequential damages including lost profits or business interruption.
Cancellation
Either party may terminate a project with 14 days written notice. The client is responsible for payment of all work completed up to the termination date, plus any non-refundable third-party costs incurred. Retainers are billed for the notice period.
Governing law
These terms are governed by the laws of the jurisdiction where Dizroot is registered. Disputes will be resolved first through good-faith negotiation, then through binding arbitration if necessary.
